The following terms and conditions apply to all services by FULLTIME Digital Limited to the Client.

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
We agree to use our best efforts to fulfil and exceed your expectations on the deliverables listed above. You agree to aid us in doing so by making available to us needed information pertaining to your website and to cooperate with us in expediting the work.
Functionality or requests above and beyond those listed in the budget and/or the functionality specs may be considered out-of-scope and an amendment to the budget will be recommended. Projects that go dormant for longer than 30 days will incur a fee to resume work at the discretion of FULLTIME Digital Limited.
FULLTIME Digital Limited will provide the Client with an opportunity to review our work during the project. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies FULLTIME Digital Limited within ten (10) days of the date the materials are made available to the Client.
We’re sure you understand how important it is to us, as a small business that you pay the invoices we send you promptly. We’re also sure you’ll want to maintain a positive working relationship and keep the project moving forward, so you agree to stick tight to the following payment schedule.
FULLTIME Digital Limited will invoice the client fifty percent (50%) of the initial fees at point of acceptance which will act as the deposit. The remaining 50% will be due upon completion of the work, prior to release of final materials.
You as the Client, agree to pay our initial (1st) invoice upon receipt which will act as a deposit for the project. Work will not start on the Client’s project until the initial deposit has been received. Every invoice after that will have 7 day payment terms.
In the event payment is not made within 14 days, FULLTIME Digital Limited will charge a late payment fee of 5% per 7 days on any overdue and unpaid balance not in dispute, to cover the manpower, interest, and other costs FULLTIME Digital Limited pays for carrying overdue invoices. In addition, FULLTIME Digital Limited reserves the right to stop work until payment is received.
You have the right to modify, reject, cancel or stop any and all plans or work in progress. However, you agree to reimburse us for all costs and expenses we incurred prior to your change of instructions, and which relate to non-cancellable commitments, and to defend, indemnify and hold us harmless for any liability relating to such action. We agree to use our best efforts to minimise such costs and expenses.
The Client agrees to reimburse FULLTIME Digital Limited for any additional expenses necessary for the completion of the work. Examples would be purchase of special fonts, stock photography, etc.
All FULLTIME Digital Limited services may be used for lawful purposes only. You agree to indemnify and hold FULLTIME Digital Limited harmless for any claims resulting from your use of our services that damages you or any other party.
The Client retains the copyright to data, files and graphic logos provided by the Client, and grants FULLTIME Digital Limited the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party.
The Client is further responsible for granting FULLTIME Digital Limited permission and rights for use of the same and agrees to indemnify and hold FULLTIME Digital Limited harmless from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. A Contract for design and/or placement shall be regarded as a guarantee by FULLTIME Digital Limited that all such permissions and authorities have been obtained. Evidence or permissions and authorities may be requested.
Unless otherwise specified in the project quotation, this Agreement assumes that any text and other photos and graphics will be provided by the Client in electronic format. All photographs and other graphics will be provided in the highest possible quality in .gif, .jpeg or .png format.
These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s signature below or payment of a deposit fee constitutes agreement to and acceptance of these Terms and Conditions. Payment online is an acceptance of our Terms and Conditions.
This Agreement shall be determined by the location of the office handling The Client.
FULLTIME Digital Limited hereby excludes itself, its Employees and/or Agents from all and any liability from:
Loss or damage caused by inaccuracy;
Loss or damage caused by omission;
Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the website;
Loss or damage to Client’s artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
The entire liability of FULLTIME Digital Limited to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.
If any provision of this Agreement is held to be illegal, invalid, or unenforceable under any present or future law, then that provision will be fully severable. In such instance, this Agreement will be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of this Agreement, and the remaining provisions of this Agreement will remain in full force and effect.
We like to be seen as a partner rather than a supplier. As such, there are responsibilities that both parties must ensure are executed to make any project successful. For the Client, these include, but are not limited to:
Providing all of your content in the agreed timeframe;
Providing all review points within the agreed timeframe.
Failure to meet your Client obligations in a project will not only result in a delay of delivery, but will also affect FULLTIME Digital Limited business operations, including potentially impacting other live projects. With this in mind, for each day delay in providing the agreed points, you will be liable to pay 1% of the project cost. As mentioned in the CHARGES FOR SERVICES section, a delay longer than 30 days will incur a fee to resume work at the discretion of FULLTIME Digital Limited.
